1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (and the business entity on whose behalf you are acting, collectively "Customer" or "you") and GlobalGov Inc. ("GlobalGov," "we," "us," or "our"). By clicking "I agree," creating an account, or otherwise accessing the GlobalGov platform, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Service Description

GlobalGov is a global government procurement intelligence software-as-a-service (SaaS) platform designed to assist business development professionals in identifying, evaluating, and pursuing government contract opportunities worldwide. The platform aggregates publicly available procurement data from government portals and other official sources in more than 200 countries and territories, as further described on our website, and provides AI-assisted opportunity matching, pipeline management tools, multi-language document translation, teaming partner identification, and related analytical features.

GlobalGov reserves the right to modify, suspend, or discontinue any aspect of the platform at any time. We will provide reasonable advance notice of material changes that affect existing functionality.

3. Account Registration and Eligibility

To access GlobalGov, you must register for an account. By registering, you represent and warrant that:

• You are at least 18 years of age.
• You are acting on behalf of a legitimate, lawfully operating business entity and have the authority to bind that entity to these Terms.
• The information you provide during registration is accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update it as necessary.
• You are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately at security@globalgov.io upon becoming aware of any unauthorized use of your account.

4. Subscription, Billing, and Auto-Renewal

GlobalGov offers subscription plans on a monthly or annual basis. Details of current plans, including pricing and included features, are available on our website and within the platform. All fees are stated in U.S. dollars unless otherwise specified.

Free trial. New accounts include a 14-day free trial. No credit card is required to start a trial. When the trial ends, access to paid features is suspended unless you purchase a subscription. Where a promotional offer provides different trial terms, the terms presented with that offer apply.

Billing. By subscribing, you authorize GlobalGov (or our payment processor, Stripe) to charge your designated payment method on each billing cycle renewal date. Subscription fees are non-refundable except as expressly stated in these Terms or required by applicable law.

Auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current subscription price unless you cancel before the renewal date. For annual subscriptions, we send a renewal reminder email in advance of the renewal date.

Cancellation. You may cancel your subscription at any time through the billing portal in your account settings or by emailing billing@globalgov.io. Cancellation takes effect at the end of your current billing period, and you retain access to the platform until then.

Price changes. GlobalGov may adjust subscription pricing with 30 days advance notice. Continued use of the platform after the effective date of a price change constitutes acceptance of the new pricing.

Taxes. Fees are exclusive of all taxes, levies, and duties imposed by taxing authorities. You are responsible for all such taxes associated with your purchase, excluding taxes based on GlobalGov's income.

5. Acceptable Use Policy

You agree to use GlobalGov solely for lawful business purposes and in accordance with these Terms. The following uses are strictly prohibited:

• Reselling, sublicensing, or redistributing GlobalGov data or platform outputs to third parties without a separate written license agreement with GlobalGov.
• Using automated scripts, bots, scrapers, or similar tools to extract, copy, or monitor GlobalGov's platform, content, or data for competitive intelligence purposes or to build a competing product.
• Circumventing, disabling, or otherwise interfering with security-related features of the platform, including features that prevent or restrict use or copying of any content.
• Sharing account credentials with individuals outside your licensed organization, or using a single account to serve multiple organizations without appropriate licensing.
• Uploading or transmitting viruses, malicious code, or any content that is unlawful, defamatory, infringing, obscene, or otherwise objectionable.
• Attempting to gain unauthorized access to any portion of the platform or its related systems or networks.
• Using the platform in any manner that could damage, disable, overburden, or impair it or interfere with other users' use of the platform.

GlobalGov reserves the right to suspend or terminate accounts that violate this Acceptable Use Policy, without refund, and to pursue all available legal remedies.

6. Data Accuracy Disclaimer

GlobalGov aggregates procurement data sourced from official government portals, procurement databases, and other publicly available sources worldwide. While we strive to present accurate and current information, we make no representations or warranties, express or implied, as to the accuracy, completeness, timeliness, or fitness for a particular purpose of any data displayed on the platform.

Government procurement data is subject to change without notice by the issuing agencies. Errors, omissions, and discrepancies may exist in underlying government data sources. GlobalGov is not responsible for errors or inaccuracies originating from government portals or third-party data providers.

Users must independently verify all procurement data, including solicitation requirements, deadlines, eligibility criteria, and contract terms, directly with the issuing government agency before making any business decisions. GlobalGov is an informational tool only and does not constitute legal, financial, or procurement advice.

7. Intellectual Property

GlobalGov's IP. The GlobalGov platform, including its software, user interface, designs, algorithms, aggregated data compilations, documentation, and all associated intellectual property rights, is and remains the exclusive property of GlobalGov Inc. and its licensors. These Terms do not grant you any ownership interest in the platform. "GlobalGov" and associated logos and marks are trademarks of GlobalGov Inc.

Customer data. You retain full ownership of all data, content, and information that you upload, enter, or create within the platform ("Customer Data"), including pipeline entries, notes, contacts, and documents. GlobalGov claims no ownership over Customer Data.

License grant to GlobalGov. You grant GlobalGov a limited, non-exclusive, worldwide license to access, process, store, and transmit Customer Data solely as necessary to provide and improve the platform services and as described in our Privacy Policy. This license terminates when you delete the data or close your account, subject to our data retention obligations.

Feedback. If you provide suggestions, feedback, or ideas regarding the platform ("Feedback"), you grant GlobalGov a royalty-free, perpetual, irrevocable license to use such Feedback for any purpose without obligation to you.

8. International Use and Export Compliance

GlobalGov operates internationally and may be accessed from various jurisdictions. You are responsible for ensuring that your use of the platform complies with all applicable local, national, and international laws and regulations, including export control laws and regulations.

You represent and warrant that you will not access or use GlobalGov in violation of any applicable export or import laws, including but not limited to the U.S. Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR), and sanctions programs administered by the U.S. Office of Foreign Assets Control (OFAC).

You acknowledge that the export control screening features within GlobalGov are provided for informational purposes only and do not constitute legal advice. You remain solely responsible for your compliance with all applicable export control and sanctions obligations. See our Export Compliance page for more information.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLOBALGOV, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF GLOBALGOV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GLOBALGOV'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO GLOBALGOV DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. GLOBALGOV EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

GLOBALGOV DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM GLOBALGOV SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. Governing Law

These Terms and any dispute arising out of or related to them or the platform shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

12. Dispute Resolution

Informal resolution. Before initiating formal proceedings, you agree to contact GlobalGov at legal@globalgov.io and attempt in good faith to resolve the dispute informally for at least 30 days.

Binding arbitration for smaller claims. For claims or disputes with a value of less than USD $75,000, you and GlobalGov agree to resolve such disputes through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, or remotely by mutual agreement. The arbitrator's award shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction.

Court proceedings for larger claims. For claims or disputes with a value of USD $75,000 or more, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware, United States.

Class action waiver. You agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Modifications to Terms

GlobalGov reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days advance notice by email to the address associated with your account, by prominent notice within the platform, or by posting updated Terms on this page with a revised effective date.

Your continued use of the platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the platform and cancel your subscription before the modifications take effect.

14. Termination

Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days after receiving written notice of the breach. GlobalGov may also suspend or terminate your access immediately for violations of the Acceptable Use Policy, non-payment, or conduct that may harm other users or GlobalGov's reputation or operations.

Upon termination, your right to access the platform ceases immediately. Sections that by their nature should survive termination, including intellectual property, disclaimer of warranties, limitation of liability, and dispute resolution, shall survive.

15. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and any executed Order Form, constitute the entire agreement between you and GlobalGov with respect to the platform and supersede all prior or contemporaneous agreements and understandings.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver. Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without GlobalGov's prior written consent. GlobalGov may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
